Citius TransNet Investment Trust Files Draft Offer Document with SEBI for ₹1,340 Crore InvIT

Citius TransNet Investment Trust, a Mumbai-based transport-focused Infrastructure Investment Trust (InvIT), has filed its Draft Offer Document (DOD) with the Securities and Exchange Board of India (SEBI), marking a major step toward its upcoming public offering.

The proposed issue comprises units worth up to ₹1,340 crore, including a 25% strategic investor portion, signalling strong interest from institutional investors. Of this, ₹1,235 crore will be raised through fresh issuance, with the funds earmarked for strategic expansion.

According to the filing, the capital will support partial or full acquisition of securities of SRPL and key project special purpose vehicles (SPVs) such as TEL, JSEL, Dhola, and Dibang. The Trust also plans to invest in operational enhancements and innovation-driven initiatives to strengthen its infrastructure portfolio.

Citius TransNet Investment Trust was established to acquire, manage, and invest in a diversified range of transport infrastructure assets, including premium road networks across India. It was formed through a Trust Deed by its sponsor, Epic TransNet Infrastructure Private Limited (formerly Watrak Infrastructure Private Limited), and registered as an InvIT with SEBI on August 1, 2025, in accordance with InvIT regulations.

The filing marks a significant milestone for the Trust as it prepares to expand its footprint in India’s growing transport infrastructure sector.
